Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BrandViper AI platform operated by BrandViper AI Ltd, a company registered in England and Wales ("BrandViper AI", "we", "us"). By creating an account or using the platform, you agree to these Terms.

1. Service Description

BrandViper AI is a cloud-based social media management platform that provides:

• AI-powered content generation (text, images, and video) for social media.
• Multi-platform scheduling and publishing to Meta, LinkedIn, X, TikTok, YouTube, Pinterest, Google Business Profile, Threads, and Bluesky.
• Analytics, social listening, sentiment analysis, and performance reporting.
• Influencer discovery, outreach management, and partnership tracking.
• Multi-tenant agency management tools.

2. Eligibility and Account Registration

You must be at least 18 years old and have authority to enter into a binding contract on behalf of yourself or your organisation. You are responsible for maintaining the security of your account credentials and for all activity under your account.

3. Acceptable Use

You agree not to:

• Use the platform to post content that is unlawful, defamatory, harassing, or infringes third-party intellectual property rights.
• Attempt to reverse-engineer, copy, or resell the platform without written permission.
• Use automated tools (other than those provided by us) to scrape, crawl, or extract data from the platform.
• Use the AI generation features to create misleading, deceptive, or harmful content.
• Violate the terms of any connected social media platform.

We reserve the right to suspend or terminate accounts that violate these obligations.

4. User Responsibilities

• You are solely responsible for all content published via the platform under your account.
• You must ensure you have all necessary rights and licences for content you upload or generate.
• You must comply with all applicable laws, including advertising standards and data protection laws.
• Agency accounts are responsible for ensuring their clients' use complies with these Terms.

5. Payment Terms

• Subscriptions are billed monthly or annually in advance depending on the plan selected.
• All prices are exclusive of VAT unless stated otherwise. VAT will be applied where required by UK/EU law.
• Payments are processed by Stripe. By subscribing, you authorise Stripe to charge your payment method on each renewal date.
• Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
• Refunds are not provided for partial billing periods, except where required by applicable consumer protection law.
• We reserve the right to change pricing with at least 30 days' notice. Price changes will not apply to the current billing period.
• Overdue accounts may result in service suspension after 7 days' notice.

6. Intellectual Property

You retain ownership of all content you create or upload. By using the platform, you grant BrandViper AI a limited, non-exclusive licence to process and transmit your content solely as necessary to provide the service. BrandViper AI retains all rights in the platform, software, and underlying technology.

7. AI-Generated Content

AI-generated content is provided as a starting point. You are responsible for reviewing, editing, and approving all AI-generated content before publishing. BrandViper AI does not guarantee the accuracy, originality, or suitability of AI-generated content.

8. Availability and SLA

We target 99.5% monthly uptime for the core platform. Planned maintenance will be announced with reasonable notice. We are not liable for downtime caused by third-party social media platforms or internet infrastructure outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, BrandViper AI's total liability for any claim arising out of or related to these Terms or the service shall not exceed the fees paid by you in the 3 months preceding the claim. We are not liable for indirect, consequential, or loss-of-profit damages.

10. Indemnification

You agree to indemnify and hold harmless BrandViper AI and its officers, employees, and contractors from any claim, damage, or expense (including legal fees) arising from your use of the platform or violation of these Terms.

11. Termination

Either party may terminate a subscription at any time. Upon termination, your access to the platform will cease at the end of the current billing period. We will retain your data for 30 days after termination to allow export, after which it will be deleted in accordance with our Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage you to contact us first to resolve disputes informally.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 30 days before material changes take effect. Continued use of the platform after that date constitutes acceptance of the new Terms.
